Conditions of Service

Corporate Information, Basic Conditions of Service and Disclaimers:

  1. Clients make use of our services subject to these terms and conditions unless a customised contract was signed historically.
  2. VdW&Co subscribes to the code of conduct for this type of practice, of the AMC Institute of the Untied States, as well as to the codes of conduct applicable to accountants in South Africa.
  3. Client Assets, Funds, Securities, Membership Directories and Client Documents remain the property of clients of VdW&Co while in our care.
  4. Membership directories are not sold or made available to third parties without permission from clients.
  5. VdW&Co do not accept booking commissions and incentives from event venue owners, hotels, catering companies, airlines or similar.
  6. VdW&Co do not receive any form interest or commission from banks or other financial services providers that we use to support our clients.
  7. Notice of termination of services will be two months either way, and in writing, unless the client has signed a services agreement with customised terms.
  8. VdW&Co and its staff provides services entirely at clients risk.
  9. Clients engage our services as office bearers, corporate secretaries and agents, and not as independent contractors.
  10. Information systems used by VdW&Co in the process of executing its work shall in all cases be and remain the property of VdW&Co.
  11. Copyright associated with documents produced by VdW&Co shall belong to the client for whom the work was produced, provided that the account of the client is paid up to date.
  12. By using the services of VdW&Co, clients agree irrevocably not to employ staff of VdW&Co or to make employment offers to VdW&Co staff, while, during or for a period of one year after termination of such a client relationship. (Six months placement fee apply in case of a breach)
  13. Van der Walt & Company (Pty) Ltd is a company registered in terms of South African law, owned by Jean Venter.
